Minotera LLC — Terms of Service

Effective date: April 21, 2026

These terms govern your use of Minotera's website (minotera.io) and any informational content or pre-sales interactions you receive through it. Paid engagements for AI software and services are governed by a separate signed service agreement that takes precedence over these website terms for those engagements.

Scope

These terms apply to:

• Visitors to minotera.io
• Prospects contacting us, requesting proposals, or completing a Discovery Workshop
• Users of the Minotera AI mobile application (when released)

Teramino (our puzzle game) has its own terms of service at minotera.io/terms-of-service.html.

1. Acceptance

By using minotera.io or communicating with us about our services, you agree to these terms. If you do not agree, do not use the site or contact us about our services.

2. About Minotera

Minotera LLC is an independent AI software and services studio based in San Diego, California. We build AI agents for small and medium-sized businesses in the electronics and manufacturing industry.

3. Website Content

Content on minotera.io is for informational purposes only. Pricing, package definitions, and feature descriptions shown on the website are summaries; the actual terms of any engagement are contained in the signed service agreement and related engagement documents.

We may modify, suspend, or discontinue any part of the website at any time without notice.

4. Free Consult and Discovery Workshop

• A free consult is a no-obligation conversation about whether Minotera's services are a fit for your business. No fees are charged.
• A Discovery Workshop is a paid engagement scoped separately. Workshop fees are credited toward setup if you proceed with a service package; they are non-refundable if you do not.

5. Service Packages and Paid Engagements

Paid engagements (including the Essentials, Complete, and Custom packages, or any other offering introduced in the future) are governed by a separate service agreement signed by both parties. That agreement covers, at minimum:

• Scope of work and deliverables
• Fees and payment terms
• Data handling, confidentiality, and security
• Warranties and liability
• Termination, cancellation, and transition
• Dispute resolution

Package definitions, pricing, and scope shown on minotera.io may change over time. The terms in effect at the time of your service agreement signing apply to your engagement.

6. Acceptable Use

You agree not to:

• Use the website in a way that violates applicable law or regulation.
• Attempt to gain unauthorized access to any part of Minotera's systems.
• Submit false or misleading information.
• Use automated means to scrape or crawl the website beyond ordinary search-engine crawling practices.
• Interfere with other users' access to the site.

7. Intellectual Property

Content on minotera.io (including text, design, graphics, and the Minotera name and associated marks) is owned by Minotera LLC or licensed to us. You may view the content for personal or business evaluation purposes. You may not reproduce, distribute, or create derivative works without our written permission.

8. AI Output Disclaimer

AI output is not guaranteed to be accurate, complete, or free from errors. Drafts generated by AI agents (emails, quotes, summaries, responses) should be reviewed before sending externally or being relied on for decisions with financial, legal, regulatory, or compliance consequences. The client is always responsible for final output.

Minotera may review agent interactions (including queries and outputs) for troubleshooting, safety, and quality improvement, as described in our Privacy Policy.

9. Disclaimers

Minotera.io is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Minotera LLC and its principals, employees, contractors, and agents are not liable for any indirect, incidental, consequential, special, or exemplary damages arising from use of the website or reliance on its content, even if advised of the possibility of such damages. Liability specific to paid engagements is addressed in the signed service agreement.

11. Indemnification

You agree to indemnify and hold harmless Minotera LLC and its principals, employees, contractors, and agents from any claim arising from your violation of these terms or your misuse of the website.

12. Governing Law

These terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. Any dispute arising from these terms or from use of the website will be resolved in the state or federal courts located in San Diego County, California.

13. Changes to These Terms

We may update these terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the website after a change constitutes acceptance of the updated terms.
